Terms of Service
Version 2026-10-16.2-draft
These terms are an agreement between Roof Replies and each business that uses it. Roof Replies is a service for roofing companies. It texts people whose calls the business missed, answers them with an automated assistant, books inspections and alerts the business. Roof Replies is operated by [Operator legal name]. Here, "we" and "us" mean Roof Replies, and "you" means the business and each person who uses its account. In the app, we are sometimes called "the agency".
If you received a text from a roofing company or used its web form, the first section applies to you. The rest of these terms is for businesses.
Text messages from businesses that use Roof Replies
Roof Replies sends and receives texts for roofing companies. Each company is the sender of its own texts. They come from that company's business number and are about your request: questions about your roofing job, inspection times, booking confirmations, reminders and, after a completed job, a request for a review. A company may also send one follow-up if you do not reply. If you agreed to marketing texts from the company, for example by ticking the optional box for offers on its web form, it may also text you later about an earlier estimate.
- Some replies are written by an automated assistant, and some by the company's team. The assistant says it is automated, and you can ask for a person at any time.
- Message frequency varies. Message and data rates may apply.
- Reply STOP to stop texts from that company. You will get a confirmation, and then no more texts from that company unless you reply START. UNSUBSCRIBE, CANCEL, END, QUIT and plain requests such as "stop texting me" also work.
- Reply HELP for help, or contact the company directly. You can also email us at roofrepliesconnect@gmail.com.
- Agreeing to receive texts is not a condition of buying anything.
- Carriers are not liable for delayed or undelivered messages.
- Our Privacy Policy at roofreplies.com/privacy explains how your information is handled.
Accepting these terms
You accept these terms by checking the box when you first sign in, or when you sign up if self-serve signup is open. We record the version you accepted, the time and your IP address. The version is shown at the top of this page. When we change these terms, we post the new version here, and every user must accept it before they can keep using the account.
- The service is for businesses in the United States. Business numbers and carrier registration are US only.
- You must be at least 18 and able to enter a contract. The service is for business use, not personal, family or household use.
- If you accept for a business, you confirm that you have authority to bind it. Team members accept these terms too, and the business stays responsible for how they use the account.
- If you have a separate written agreement with us, it controls where it conflicts with these terms.
If you do not agree, do not use the service.
What the service does
Roof Replies gives your business:
- a local business number that rings the cell phone you choose;
- a text to callers whose call you miss, when the checks described in these terms allow it;
- an automated assistant that replies to texts, asks about the job and hands the conversation to you when needed;
- optional inspection booking on your Google Calendar, with a confirmation and a reminder the day before;
- a web form, an intake endpoint for your own website and optional Facebook Lead Ads intake;
- one follow-up text, review requests after completed jobs, and optional reactivation texts to past estimates and to lost or pending leads who agreed to marketing texts;
- text and email alerts, a dashboard, a monthly report and data export.
Some features depend on our providers and on your settings. We may add, change or remove features. If a change removes a feature you rely on, we will tell you in advance when we reasonably can. We give support by email.
Accounts, sign-in and your team
- We create your account and email you a sign-in link that works once and lasts 72 hours. When self-serve signup is open, you can create it yourself. After that, you sign in with a link we email you, which lasts 15 minutes. There are no passwords, so anyone who can read your email can sign in. Keep your email account secure.
- A sign-in lasts 30 days on a device, or until you sign out.
- Owners can change settings, approve messages, connect the calendar, upload lists, invite staff, export data and delete leads. Staff can see leads and conversations, reply, take over conversations and update outcomes, including marking a job complete, which sends a review request.
- You are responsible for everyone you invite and for everything done in your account. To remove a team member, contact us.
- Keep your business details, alert numbers and contact email accurate. Tell us right away if you think someone used your account without permission.
Our access to your account
Our administrators can open your dashboard and do what an owner can. That includes reading conversations, sending replies from your number, changing settings, editing message templates, recording approvals you give us in writing, exporting data and deleting leads. We use this access to set up your account, give support, fix problems, look into complaints or misuse, and meet legal and carrier requirements.
Our administrators also see a log of texts and system events across all accounts, and get email alerts about errors. They see your full EIN only through a reveal that is logged each time, and we use it for carrier registration.
Setup, your number and calls
- You complete setup in the app: business details, answers for the assistant, call forwarding and alerts, texting registration details and message approval. Connecting a calendar is optional. We then buy a local number for you, register your business with the carriers (called 10DLC) through our SMS provider, run a test and turn on automation.
- Texts cannot go out until the carriers approve your registration. Carriers can delay, reject or suspend a registration, and we do not control their decisions.
- You must give true and complete registration details and keep them current. We send them, including a standard brand's EIN, to our SMS provider, which passes them to The Campaign Registry and the carriers. A sole proprietor must reply YES to the carrier's verification text within 24 hours.
- Carriers limit how many texts a business can send each day. For example, T-Mobile allows a sole proprietor brand about 1,000 a day. We cap automated texts at 900 a day by default. When the cap is reached, scheduled texts move to the next morning, and we alert you about people who need a reply from you. Your own replies and opt-out and help replies are not capped.
- Calls to your number ring the cell phone you choose with a short prompt to press 1 to accept. If you do not press 1 in time, the call counts as missed, even if your voicemail answers. The caller hears a short message and the call ends. The service does not take voicemail, and calls with no caller ID do not get a text.
- Calls are not recorded. If you record calls some other way, you are responsible for the notice and consent that recording laws require.
- The number is held in our provider account for your use. It is not released automatically when your account ends. If you want to keep it, ask us before your account ends. Moving a number depends on the carriers and our provider, and fees may apply.
Message templates and your approval
- Each kind of text uses a template. Your account cannot go live until you approve each template exactly as written. We can also record an approval you give us in writing.
- We edit templates at your request, or when carrier rules or the law require a change. Any edit clears the approval, and we will ask you to approve the new text. Until you do, the service keeps sending the last version you approved.
- Texts that start or restart a conversation must include opt-out wording. If the first text to a person has none, the service adds "Reply STOP to opt out."
- The first texts after a missed call and after a form must say that the assistant is automated. The service will not save an edit to them that leaves out the word "automated".
- You are responsible for what your texts say. We may refuse a template that breaks these terms or carrier rules.
Your responsibility for texting and calling laws
You are the sender of every text and the business behind every call made through your account. You are responsible for following every law and rule that applies to them, including:
- the Telephone Consumer Protection Act (TCPA) and FCC rules, and the Telemarketing Sales Rule where it applies;
- state telemarketing and texting laws, such as the Florida Telephone Solicitation Act and the Oklahoma Telephone Solicitation Act, including their consent rules and their limits on calling hours and message frequency;
- the National Do Not Call Registry and state do-not-call lists, for marketing texts;
- the CTIA Messaging Principles and Best Practices, carrier codes of conduct, 10DLC rules and our SMS provider's acceptable use policy;
- the FTC's rules on reviews and endorsements, and consumer protection and privacy laws.
In particular:
- Consent. You must have the consent the law requires before anyone is texted. The service texts people who called or texted your business number, people who sent your web form, people from your connected Facebook lead forms when the form records their consent, and people on lists you upload. For each person, we record how they reached you, and we link the first text after a missed call to that call.
- Web form. Our hosted form has an unchecked consent box with disclosure text, and a second, optional box for offers. We record the text the person agreed to, the time, the IP address, the browser and the page. If you send leads from your own website to our intake endpoint, your form must show a disclosure that covers the same points next to an unchecked box, and send consent only when the person checked it. Each submission must include the exact consent wording your form showed, and we store that wording as the record of consent. If your form also has a separate, optional box for marketing texts, send whether the person ticked it and its exact wording. We cannot see your site, so we do not check what it showed. If someone ticks an offers box on a later visit, we add its wording to the record from their first visit.
- Facebook lead forms. The service texts a lead from your connected forms only when the form records consent: a ticked checkbox in the form's custom disclaimer, or a plain yes to a question whose name mentions consent, opt-in or agreeing. Otherwise it saves the lead, sends no text and alerts you to call instead. The check is automatic and treats any of these as consent to texts, so use them only for that. We do not check your form's wording. Your forms must include clear consent language for texts from your business. Consent on a Facebook form does not make a lead eligible for reactivation texts.
- Uploaded lists and reactivation texts. Texts to past estimates and to lost or pending leads are marketing. Many laws require prior express written consent for marketing texts sent with automated technology. The service sends them only to people on lists you upload and to people who ticked a separate box agreeing to offers on a web form, ours or your own site's. It skips everyone else, such as people who only called, texted or sent a Facebook form, and web leads who never ticked that box. Whether that consent meets the law is your responsibility. Upload a list only if everyone on it gave your business written consent to receive marketing texts. When you upload, you confirm this, confirm that you can show the consent if asked, and say where it came from. We store your confirmation and answer with the upload. They are your statements, and we do not check them.
- Timing. The service starts its own texts (first texts, follow-ups, reminders, review requests and reactivation texts) only between 8 AM and 8 PM, whatever your settings. Your quiet hours are 8 PM to 8 AM by default. Ask us if you want them longer. They cannot be shorter. These hours use your business's time zone, not the recipient's, so someone in another time zone can get a text outside those hours where they are. Some state laws are stricter or use the recipient's time zone. For example, Florida limits sales calls and texts to 8 AM to 8 PM in the recipient's time zone. Replies to someone's own message, booking confirmations, and opt-out and help replies go out right away. If an automated text fails to send, any retry waits for the allowed hours.
- Do-not-call and reassigned numbers. The service does not check numbers against the National Do Not Call Registry, state do-not-call lists or the FCC's Reassigned Numbers Database. If the law requires those checks for your texts, you must do them.
- Opt-outs. The service records opt-outs sent by text and stops all texts from your account to that number, including your own replies. If someone asks you to stop texting them by phone, email or in person, tell us and we will add the number to your opt-out list. The app does not have a control for this.
- Reviews. Review requests go to every customer you mark as job complete, with no filtering. Do not ask only happy customers, offer rewards for positive reviews or post fake reviews.
Our safeguards, such as opt-out handling, quiet hours, daily caps, landline checks and consent records, are tools. They do not make your texts lawful and may not catch every problem. We do not give legal advice. Talk to your own lawyer about your use.
Acceptable use
Do not use the service to:
- text or call anyone without the consent the law requires, or after they opted out;
- text purchased, rented or shared lists, or send messages for a business other than the one registered on your account;
- sell, rent or share the phone numbers or consent records of people who contact you;
- send content that is false, misleading, harassing, hateful, sexual, violent or illegal, or that carriers do not allow, such as content about cannabis, firearms, gambling, high-risk loans or debt collection;
- ask people to send sensitive information by text, such as Social Security numbers, bank or card numbers, passwords or health information;
- put links from public link shorteners in messages;
- try to make the assistant claim to be a person, give prices outside the ranges you set, or give legal or insurance advice;
- impersonate anyone, or hide who is sending a message;
- break or probe the service's security, get around rate limits or bot checks, reach another business's data, or copy or reverse engineer the service except where the law allows;
- break the rules of our providers, such as our SMS provider's and AI provider's acceptable use policies.
We may pause or suspend texting for your account if we believe these rules are being broken.
The automated assistant
The assistant replies to texts for your business. It asks what the person needs, collects their name, property address, email if offered, the roof problem and how urgent it is, and is told to answer questions using only the services, service area, hours, answers, price ranges and instructions you give it. With a calendar connected, it offers two open inspection times inside your business hours and books the one the person picks.
- The first text after a missed call or a form says the assistant is automated. The assistant is told never to claim to be a person, and to say it is automated if asked.
- It is told not to quote prices outside your approved ranges, give firm quotes, promise outcomes, timelines or insurance coverage, or give legal or insurance advice. Automated checks replace a reply that appears to break these rules with a fixed, safe reply.
- It hands the conversation to you, pauses on that thread and alerts you when someone asks for a person, describes an emergency such as an active leak, sounds upset, asks something it cannot answer, is outside your service area, or wants to change a booking.
- If our AI provider fails, the person gets a fixed text saying someone will get back to them, and you are alerted.
- You can take over any conversation, reply yourself (which pauses the assistant on that thread) or turn automation off for the whole account.
AI can be wrong. Its replies and the details it collects may be inaccurate or incomplete, and the checks do not catch everything. You are responsible for the information you give it, for reading your conversations and alerts, and for following up with your customers, especially in an emergency. Replies are written by our AI provider, which processes the conversation as our Privacy Policy describes.
Calendar, Facebook, alerts and reports
- Google Calendar. When you connect it, you let us see when your primary calendar is busy and create inspection events on it. Events include the person's name, phone number, address, roof problem and a link to the conversation. You can disconnect in Settings and remove our access in your Google account. If Google stops our access, booking stops and we alert you.
- Facebook Lead Ads. To get leads from your Facebook forms, you give us your Page ID and a Page access token. We use them only to fetch your leads. Meta's terms apply to your forms and ads.
- Alerts. Each team member chooses text alerts, email alerts or both. Alert texts come from your business number. Alerts include the lead's name, number, address and issue, and may quote their message. Alerts are sent at any hour.
- Reports. We email a monthly report with counts of missed calls, texts, replies, bookings, review requests and handoffs. Ask us if you want it turned off.
Third-party services
The service depends on other companies, including phone carriers, our SMS provider (Twilio), our AI provider (Anthropic), our hosting and database providers (Vercel and Neon), our email provider (Resend), Cloudflare, and Google, Meta and Stripe when those features are on. Their availability, rules and decisions, such as carrier filtering or a rejected registration, are outside our control, and we are not responsible for them. Your own Google and Facebook accounts are also subject to those companies' terms.
Fees and payment
- We do not take payments online at this time. Your fees are the ones we agree with you in writing, such as in a proposal, order form or email, and we invoice you directly. Pay each invoice by its due date.
- Your agreement or invoice says whether the phone number, carrier registration and message costs are included or billed separately.
- Fees do not include taxes. You pay any sales, use or similar taxes that apply, other than taxes on our income.
- If an invoice is unpaid after its due date, we may pause automated texting or suspend the account after telling you.
- Fees are not refundable unless the law requires it or we agree otherwise in writing. We will tell you before a price change takes effect.
- If we offer online subscriptions, payments go through our payment processor (Stripe), and we do not store card numbers. A subscription renews each billing period until it is cancelled, and a first subscription may include a free trial. You can cancel in the billing portal. If a subscription is cancelled or goes unpaid, automated texting pauses until billing is active again.
Your data and our rights
- Your data includes your business details, templates and settings, and the information about your customers in the service, such as leads, messages, call records and appointments. As between us, you own it.
- You give us permission to host, copy, process, send and display your data to provide, secure and support the service, to meet legal and carrier requirements, and as our Privacy Policy describes. That includes sending it to our providers for that work.
- You are responsible for having the rights and consents needed to give us your data and to have us use it this way.
- For personal information about your customers, we act as your service provider (also called a processor). We use it only to provide, secure and support the service, to follow your instructions given through the app and these terms, and to meet legal obligations. We do not sell it, use it for advertising or use it for our own marketing.
- We may use aggregated information that does not identify you, your customers or anyone else, such as delivery rates, to run and improve the service.
- When you delete a lead, its opt-out record stays so the request keeps being honored. When your account is deleted, its opt-out records move to a permanent archive as proof that the requests were honored.
- We own the service, including the software, design and default templates. We give you a limited, non-exclusive, non-transferable right to use it for your business while your account is active. If you send us feedback, we may use it without owing you anything.
Confidentiality
Each of us will keep the other's non-public information confidential, use it only for this agreement, and share it only with people and providers who need it and must protect it. This does not cover information that is public, that the receiving party already had or developed on its own, or that the law requires it to disclose. Where allowed, the receiving party will give notice before a required disclosure.
Security
We protect the service with measures that include:
- row-level security in the database, so each business reaches only its own records;
- encrypted connections (HTTPS) to the app and to our providers;
- encryption by the app (AES-256-GCM) of EINs, Facebook Page tokens and Google Calendar tokens;
- sign-in links and session keys stored only as hashes;
- signature checks on incoming webhooks, bot checks and rate limits on public forms and sign-in, and a log entry each time an administrator views an EIN.
The app does not separately encrypt other data, such as names, phone numbers and messages. No system is fully secure, and we cannot promise that data will never be accessed without permission. If we learn of a security incident that affects your data, we will tell you as the law requires. Protect your email account and devices, and ask us to remove team members who no longer need access.
Exporting and deleting data
- Owners can download the business's settings, leads, messages, call records, appointments, opt-outs, templates, uploads and activity log as a JSON file from Settings. We can also provide one person's data on request.
- Owners can delete a lead. That removes the lead, its messages, appointments, calls from its number, its activity log entries and its pending texts. Its opt-out record stays.
- To delete your whole account, ask us. We cancel the account first, which stops all texting. Until we delete it, owners can still sign in and export data. Then we delete the business and its data, except opt-out records, which move to a permanent archive.
- Deleting data in Roof Replies does not delete copies outside it, such as events on your Google Calendar, alerts and emails already delivered, files you exported, or records our providers keep under their own policies. Deleted data can also stay in database backups for a limited time.
- Sign-in records of team members are not deleted with a business, because a person can belong to more than one business. Ask us to delete them.
Suspension and termination
- You can stop using the service at any time. Owners can turn automation off in the app. To close the account, tell us.
- We may pause automation, suspend your account or end it if you break these terms or the law, if a carrier, our SMS provider or a regulator requires it or flags your traffic, if your messages draw complaints or many opt-outs, if you do not pay, or if your use puts the service or other people at risk. We will tell you first when we reasonably can.
- We may stop offering the service. If we do, we will give you reasonable notice and a chance to export your data.
- When your account ends, your right to use the service ends and texting stops. Terms that by their nature should continue, such as fees owed, your data, confidentiality, disclaimers, limits of liability, indemnification and disputes, continue.
Disclaimers
The service is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not promise that the service will be uninterrupted or error free, that every call will be detected, that every text will be sent or delivered on time, that carriers will approve or keep your registration, that the assistant's replies will be accurate, or that you will get any number of leads, bookings or sales. Nothing in the service is legal advice.
Limitation of liability
To the fullest extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if told they were possible. Our total liability for all claims about the service is limited to the greater of the fees you paid us in the 12 months before the claim arose and $100.
These limits do not apply to your payment obligations, to your obligations under the indemnification section, or where the law does not allow them.
Indemnification
You will defend and indemnify Roof Replies, its operator and its contractors against any claim, fine, penalty, loss or cost, including reasonable attorneys' fees, that comes from:
- texts or calls sent through your account, including claims under the TCPA or state texting and telemarketing laws;
- missing or invalid consent for anyone you texted, imported or sent to us;
- your data, your templates, and the information and instructions you gave the assistant;
- your breach of these terms or the law;
- your work for and dealings with your customers.
We will tell you about the claim promptly and let you control the defense. You may not settle a claim in a way that binds us without our written consent.
Governing law and disputes
- These terms are governed by the laws of the State of [State] and applicable US federal law, without regard to conflict of laws rules.
- Before filing a claim, contact us and try in good faith to resolve it for at least 30 days.
- Any lawsuit about these terms or the service must be brought in the state or federal courts located in [County and state], and both of us agree to their jurisdiction. Either of us may ask any court for an injunction to protect its confidential information or intellectual property.
General terms
- These terms, our Privacy Policy and any written agreement or order between us are the whole agreement about the service.
- You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of the service.
- If part of these terms cannot be enforced, the rest stays in effect. Not enforcing a right is not a waiver of it.
- Neither of us is liable for delays caused by events outside reasonable control, such as carrier or provider outages, natural disasters or government action. This does not excuse payment.
- These terms do not make either of us the other's partner, employee or legal agent, and they give no rights to anyone else, except the people protected by the indemnification section.
- We send notices to the email address on your account. You send notices to roofrepliesconnect@gmail.com, with a copy by mail to [Operator legal name], [Mailing address]. You agree to receive agreements, notices and other messages from us electronically.
